These general conditions apply to all sales made by ADJ DiTec Málaga S.L. to professionals.
1. Scope of application
These general conditions govern all sales of industrial products and materials made by ADJ DiTec Malaga S.L. to professionals, unless expressly agreed otherwise.
2. Object
Define the mutual obligations between the Seller and the Buyer with respect to purchasing and selling operations of industrial products, including machinery, components, electrical equipment and accessories.
3. Orders
All orders must be made in writing (e-mail, web form or authorised platform).The Seller reserves the right to accept or reject orders depending on the availability or profile of the Buyer.
4. Confirmation of order
The order shall be deemed to have been confirmed only after express acceptance by the Seller, who may communicate it by e-mail, voucher or pro forma invoice.
5. Prices
The prices indicated are in euro, excluding VAT. They are subject to change without notice. The invoiced price will be the one in force on the date of order.
6. Conditions of payment
Unless agreed in writing, the payment must be made in cash, by bank transfer, card or on the terms agreed by contract.
7. Availability and delivery
Delivery times are approximate and non-binding. The Seller shall not be liable for delays due to force majeure or causes other than his will.
8. Transport and import expenses
Unless expressly agreed, transport costs and import costs shall be borne by the Purchaser.
9. Receipt of goods
It is the Buyer's responsibility to verify the condition of the goods upon receipt.
10. Refunds
Products must be returned in their original packaging and in perfect condition.The costs of return shall be borne by the Buyer, except for an error attributable to the Seller.
11. Guarantee
The products are covered by the legal guarantee in force and the Seller shall not be liable for any improper use, improper handling or unprofessional installation.
12. Limitation of liability
The Seller's liability is limited to the value of the supplied products.
13. Reservation of the domain
The products shall remain the property of the Seller until the invoice amount has been paid in full.
14. Force majeure
The Seller may suspend or cancel orders for reasons of force majeure (strikes, pandemics, fires, lack of raw materials, etc.) without incurring liability or compensation.
15. Jurisdiction and applicable law
The parties shall submit to the courts and tribunals of the seller's domicile, renouncing any other jurisdiction.
